Welcome to Memorio Studio. These Terms of Service ("Terms") govern your use of memoriostudio.com (the "Site") and the services provided by Memorio Studio LLC ("Memorio," "we," "us," or "our"). By using the Site or placing an order, you agree to these Terms. If you don't agree, please don't use the Site.

We've kept this simple. We're a small studio. We want you to understand what we do, what you're agreeing to, and how we protect you and ourselves.

What We Do

We create custom memorial canvas portraits based on photographs you provide. Our process combines AI-assisted composition with human studio refinement. Every order receives a free digital preview within 24 hours. You pay only after approving your preview.

Eligibility

You must be at least 18 years old and able to enter legally binding agreements to use Memorio. By using our service, you confirm that you meet this requirement.

How Orders Work

• Free preview. Every order begins with a free digital preview, delivered within 24 hours. No payment is required to start.
• Unlimited revisions. Request changes to your preview as many times as needed until it's right.
• Pay after approval. We only charge your payment method after you approve the final preview.
• Production. Once approved, your portrait is sent to print within 24 hours and cannot be modified.
• Delivery. Your canvas arrives within 5–7 business days of approval.

Pricing and Payment

All prices are in U.S. dollars and exclude any applicable sales tax, which will be added at checkout based on your shipping address. We accept all major credit cards. Your payment information is handled by our payment provider and never stored on our servers.

Your Photo, Your Rights

When you upload a photograph, you confirm that:

• You own the photograph or have permission to use it.
• You grant Memorio a limited, non-exclusive license to use the photograph solely for producing your portrait and providing customer support.
• We will not use your photograph for marketing, training AI models, or any purpose outside of your order without your explicit written consent.
• We delete your photograph from active systems within 90 days of order completion. Encrypted backups are deleted within 180 days.

Intellectual Property

The final portrait you receive is yours for personal, non-commercial use. You may display it in your home, gift it, or share photos of it on social media.

Memorio retains all rights to its brand assets, style names ("Memorial Light," "Watercolor Wash," "Classical Oil"), creative process, and the Site. You may not reproduce, modify, or commercially distribute our work, brand, or service without written permission.

Refunds and Returns

Things That Are Out of Our Control

We aren't responsible for delays caused by shipping carriers, severe weather, customs (for international orders), or other circumstances outside our control. We'll always work with you to make things right when possible.

Limitation of Liability

To the maximum extent permitted by law, Memorio Studio LLC's total liability for any claim arising from your use of the Site or our service is limited to the total amount you paid for the specific order in question. We are not liable for indirect, incidental, consequential, or punitive damages, including emotional distress, loss of use, or loss of data.

This limitation applies regardless of the legal theory under which a claim is brought (contract, tort, statute, or otherwise).

Indemnification

You agree to indemnify and hold Memorio Studio LLC harmless from any claims arising from your violation of these Terms, including your use of photographs you don't own or have rights to.

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the jurisdiction of those courts.

Changes to These Terms

We may update these Terms occasionally. Material changes will be posted here with an updated "Last updated" date. Continued use of the Site after changes means you accept the revised Terms.
